Sustainability Governance & Oversight evaluates the formal structures and processes through which a company’s board and executive leadership steer, monitor and are held accountable for environmental, social and governance (ESG) performance. It covers:
- board-level responsibility - dedicated committees or agenda items, director expertise, decision authority and information flows that embed ESG into strategic oversight;
- executive ownership & management systems - clear C-suite accountability (e.g., Chief Sustainability Officer, integrated ESG roles), cross-functional steering groups, targets and incentives linked to sustainability outcomes;
- policies, charters and mandates that define how ESG considerations are integrated into risk management, capital allocation, remuneration, stakeholder engagement and disclosure;
- reporting and escalation mechanisms - dashboards, internal controls and assurance processes that provide timely, reliable ESG data to the board and external stakeholders;
- alignment with governance standards and frameworks such as GRI 2-9/2-12, OECD/G20 Principles, ISSB/TCFD guidance and EU ESRS cross-cutting requirements, ensuring that sustainability is embedded in the company’s overall corporate-governance architecture.
